Welcome to A3N Consulting (“A3N,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and any related applications (collectively, the “Service”). By accessing or using the Service, you (“you,” “your,” or “User”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Service.
1.1 You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements.
1.2 By using our Service, you acknowledge that you have read, understood, and agree to comply with these Terms and our Privacy Policy.
3.1 A3N offers business consulting, staffing, payroll, credentialing, training, and related professional services as set forth in individual statements of work, proposals, or purchase orders (“Engagement Documents”).
3.2 No additional services are included unless expressly agreed in writing by both parties.
4.1 You agree to provide timely access to personnel, information, and systems as reasonably requested by A3N to perform the Services.
4.2 You are responsible for the accuracy, legality, and completeness of all Client Data you provide. A3N is not liable for issues arising from incomplete, inaccurate, or unlawful data.
5.1 Fees for the Services are specified in the applicable Engagement Document. All fees are exclusive of taxes, duties, and other governmental charges, which you shall pay in addition.
5.2 Invoices are due upon receipt and payable within 30 days unless otherwise stated. Late payments may incur interest at 1.5% per month (or the maximum rate permitted by law, if lower).
6.1 Each party agrees to keep confidential all non‑public, proprietary information disclosed by the other (“Confidential Information”).
6.2 Confidential Information does not include information that is (a) publicly available without breach of these Terms; (b) rightfully obtained from a third party without restriction; or (c) independently developed without reference to the other party’s Confidential Information.
6.3 These obligations survive termination for a period of three (3) years.
7.1 A3N retains all right, title, and interest in our pre‑existing intellectual property, methodologies, templates, and know‑how (“A3N IP”).
7.2 Subject to your full payment of all fees, A3N grants you a non‑exclusive, non‑transferable license to use the Deliverables solely for your internal business purposes.
7.3 You may not redistribute, resell, or otherwise exploit the Deliverables without our prior written consent.
8.1 To the maximum extent permitted by law, A3N’s total liability for any claim arising under or relating to these Terms shall not exceed the total fees paid by you under the applicable Engagement Document.
8.2 In no event shall A3N be liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.
9.1 These Terms take effect on your first use of the Service and remain in force until all Engagement Documents expire or are terminated.
9.2 Either party may terminate an Engagement Document for material breach if the breaching party fails to cure within 30 days of written notice.
9.3 Upon termination, you will pay for all Services performed through the termination date and return or destroy all Confidential Information of the other party.
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days’ notice via the website or email. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.
These Terms shall be governed by and construed in accordance with the applicable laws of India and the United States, without regard to any conflict-of-law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the applicable arbitration laws of the respective jurisdiction, including but not limited to the Indian Arbitration and Conciliation Act, 1996, and relevant U.S. arbitration statutes.
